Bungoma Directorate of Criminal Investigations officers have launched investigations into reports that a major scandal of forgery where over half of the board of directors of a Terem hydropower company were unproceduraly and illegally removed from the company’s ownership way back in 2014 just a year after they founded the multi-billion Terem hydro power generating company in 2013 at Kapsambo in Mt. Elgon Constituency.
“As the the oldest of the two surviving Brothers and Four Sisters of the late Engineer Joseph Simiyu Mukhamule as a matter fact his immediate follower in the larger Mzee Christopher Mukhamule family, we are seriously disturbed and concerned that our Brother’s Dreams and well intentioned Vision which he laboured so hard on both intellectually Physically and Financially of course with the support and collaboration of his fellow and colleague Directors of his “Brain-child” Company which unfortunately has been hijacked and plunged into the morass of Crime and greed. I am among the Directors who were illegally claimed to have sworn affidavits to resign from the Board of the Company ostensifully one year after the Company was established and registered with AG’s Registrar of Companies. I must say here that without any fear of contradiction that neither me or those other Directors who were falsely purported to have resigned ever under took such an act and it is against this backdrop that we reported this forgery to the DCI in Bungoma to whom we are so grateful that they have embarked on investigations to unravel the crime. I will issue further statements about what I know particularly about some personalities who have been involved in this issue from the very beginning and who are hell bend on misleading the Public about Our Company”

#iKUWEiKUWE Updates’ extensive investigations arose from various complains by the shortchanged party (directors) point an accusing finger at one Martin Wamalwa Nyongesa who served as a part time driver and personal assistant to the late engineer Joseph Simiyu Mukhamule the founder of Terem SSP, for crafting a scheme that saw directors; Wabomba Walinywa (1,000 shares), Oscar Wanjala (700 shares),, Noordin Isaack Adam (323 shares), Cyril C.C. Lazima (442 shares) and Francis Munialo Opar (250 shares).., sidelined in what could easily amount to criminal offenses where Martin is alleged to have forged signatures and in a bid to form the late Engineer Simiyu’s company afresh.
It is further alleged that Martin Nyongesa who also doubles as the chairman of Board of Management of two major schools; Bungoma High School and Bungoma D.E.B primary school connived with some unidentified lawyers in Nairobi to manufacture fake affidavits and letters of resignation to registrar of companies in Nairobi purportedly by the affected directors from the Terem SSP company.
Speaking to #iKUWEiKUWE a disgruntled “former” director narrates a frightening scenario that points at high possibility of faking documents claiming that they were true copies of the original directors. “In essence what Martin Nyongesa has done is to destroy the vision and dreams of the late Eng. Simiyu who worked tirelessly with the expunged colleagues (directors) to create a company that is indeed a role model of what a local Kenyan and Bungoma born resident put in to improve advancement of his people” said the victim
Further reports now reveal that Martin Nyongesa also connived with one Sam Kangau and dragged in the scheme albeit remotely the first born child and daughter of the late engineer Simiyu, engineer Catherine Nabwile Gitonga to make himself, Kangau and the lady new directors in the company after the death of Simiyu in late 2016.

It has also emerged that Kangau was an advisor of Simiyu from Co-operative bank (the funding institution) and so the fact that he is a director in the company today at the behest of Martin and himself is clearly a criminal matter that calls for swift investigations to save the company from the said thieves and returning back to the real owners.
Disowned affidavit;
There’s plundered and collaborating evidence that what Martin presented to the registrar of companies purporting as changes were part of a wider scheme to defraud and sideline the true owners of the company because there were no board meetings nor notices or gazettement of the changes except for a typed affidavit for each director which has been disowned and from the look of things is indeed actionable.
DCI involvement;
The affected directors had no choice but to report Martin nefarious activities to DCI in Bungoma who have now launched investigations to unearth all if not most of those illicit activities perpetrating by him.
The director said he was grateful to hear that DCI in Bungoma have now moved in and that they have already visited site of the power generation at Kapsambo which is indeed because of Martin activities have become the scene of crime
Other allegations;
One of those directors who is a Nairobi based speaking on condition of not being named wondered how a man who can do that to a local company reportedly owned by his late uncle, his late father’s first cousin should be allowed to manage two large schools and the centre of the county in Bungoma. Moreover, the same director now warns that the only solution is for Martin to come in the open and explain why “our company must be victim to his criminal activities otherwise we urge the police to move quickly, apprehend in order save our company from this unfortunate debacle”.
At the same time, calls have been made to the County Director of education, to the ethic and anti-corruption commission to check and establish how one person has been handed over two schools and who are behind that kind of unique and unusual management of public education institutions. “For it is not possible unless somebody is cheating the public that one person has monopoly of knowledge and wisdom to manage two neighboring powerful schools.
Questionable death of founder;
Meanwhile, it is also emerging that the late eng Joseph Simiyu co-family, his surviving brothers and sisters are seeking to have fresh investigations in the circumstances that led to eng. Simiyu’s death. Said one member “Our brother was found dead alone in a bedroom in his then Nairobi house on the morning he was scheduled to fly to Bungoma to commission the power company with his core directors. We feel suspect his death may have something to do with his own company given the speed at which people who were but his “watu wa mkono like Martin and Kangau are now directors in his company for contributing nothing but what appears to be a song”.

- Martin Wamalwa Nyongesa replied; I have seen this..thanks Mr simiyu.. we are taking action on this… These are matters we have discussed as a family and are with our lawyers. None of the person’s mentioned has been called to shed light on this matter from either the family of the late simiyu or the Regen Terem SHP company ltd.
Needless to say neither myself or the said Mr Kangau could have removed these fellows.
They did so on their own pleasure after reaching an arrangement with the late Engineer two years before his demise in December 2016. The company’s legal team is ready and willing to defend, and protect our interests and dignity.
